B – Duration

Framework Agreement Commencement Date:  21/11/2019

 


TERM

The Framework Agreement shall commence on the Framework Agreement Commencement Date and shall, subject to earlier termination in accordance with the  Conditions of Supply (as defined below), continue for a period of 12 months (the “Initial Term”). The Framework Agreement shall automatically continue at the end of the Initial Term unless and until terminated by either party giving at least 3 months written notice of termination to the other.

D – Price and Payment Terms

Idle-time Charges   See Terms and Conditions. BIL reserves the right to charge Idle Time Charges (ITC) if  the client has not delivered materials to agreed timescales and production space is committed and cannot be reallocated.


Payment Terms   Payment is by cleared funds in advance. Payment should be received at least 2 weeks prior to planned production.

F – General Provisions

1.   The Supplier is a manufacturer of own label and branded soft drinks. The Customer wishes to appoint the Supplier to provide the Products from time to time.


2.   This document (the “Key Terms Sheet”) sets out the key terms and conditions of supply and incorporates the general terms on which the Supplier will supply the Products to the Customer from time to time (the “Framework Agreement”). This Framework Agreement does not of itself constitute a contract for the supply of the Products.


3.   The Products will be provided under one or more contracts entered into by the Supplier, in each case by the Customer raising an Order under this Framework Agreement in accordance with the Conditions of Supply (each a “Contract”) which shall identify the commercial and operational details together with any additional terms which apply to the supply of the applicable Products.


4.   Each Contract forms a separate contract between its signatories and shall incorporate the terms set out in this Key Terms Sheet, the Conditions of Supply and each document referred to in them.


5.   No variation of or amendment to the Framework Agreement shall be effective unless made in writing and signed by authorised representatives of the parties.


6.   If any provision of the Framework Agreement is found by any court or other authority of competent jurisdiction to be invalid, illegal or unenforceable, that provision shall, to the extent required, be deemed not to form part of the Framework Agreement, and the validity and enforceability of the other provisions of the Framework Agreement shall not be affected.


7.   If a party fails to exercise any of its rights or remedies provided under the Framework Agreement or by law, or if a party only exercises any right or remedy in part, this shall not be a waiver of that or any other right or remedy and it shall not prevent or restrict that party from further exercising that or any other right or remedy.


8.   The Framework Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims), shall be governed by, and construed in accordance with, the law of England and Wales and the parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with the Framework Agreement or its subject matter or formation (including non-contractual disputes or claims).


9.   Any capitalised terms in the Key Terms Sheet which are used but not defined (and for this purpose all terms in the lightly shaded columns after the heading “Duration” and before “Applicable Terms & Conditions” shall, as appropriate or unless otherwise defined herein, be deemed defined terms) shall have the meaning given to them in the Conditions of Supply.


10.   If there is any conflict, inconsistency or ambiguity between any provisions in the Framework Agreement and those in a Contract, the terms of the Contract shall take precedence. If there is any conflict, inconsistency or ambiguity between the provisions of the Contract the following order of precedence shall apply (in order of decreasing precedence) (1)


11.   The Framework Agreement may be executed in any number of counterparts, each of which when executed and delivered shall constitute an original of the Framework Agreement but all the counterparts shall together constitute the same agreement.
